Terms of Use

These Terms of Use (the "Terms") govern access to and use of Spuree Creative Engine, Spuree websites, and related products, services, integrations, and features (collectively, the "Services") provided by Spuree Labs, Inc. ("Spuree", "we", or "us").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, "you" includes that organization.

1. Use of the Services

You may use the Services only in accordance with these Terms, our documentation, and applicable laws. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials.

You may not misuse the Services, interfere with their operation, attempt to access systems or data without authorization, or use the Services to violate the rights of others.

2. Accounts and Access

Some features require an account. You agree to provide accurate account information and keep it up to date. We may suspend or limit access if we reasonably believe an account is being used in violation of these Terms, presents a security risk, or could harm the Services or other users.

If you access the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

3. Your Content and Project Materials

You retain ownership of files, prompts, documents, creative materials, project data, and other content that you upload, submit, import, or create through the Services. You grant Spuree the rights needed to host, process, transmit, display, and otherwise use that content to provide, secure, support, and improve the Services.

You are responsible for ensuring that you have the rights and permissions needed to upload or import content into the Services.

4. Third-Party Services and Integrations

The Services may allow you to connect third-party services, including services such as Zoom. When you connect a third-party service, you authorize Spuree to access and process data from that service as needed to provide the requested integration features.

For example, if you connect Zoom, Spuree may let you browse, preview, and import files that you explicitly select from your Zoom Docs or My Files. Spuree does not control third-party services and is not responsible for their separate terms, policies, availability, or security practices.

5. Acceptable Use

You may not use the Services to upload, create, distribute, or process content that is unlawful, harmful, infringing, deceptive, abusive, or that violates privacy, publicity, intellectual property, or other rights.

You may not attempt to reverse engineer, disrupt, overload, scrape, or bypass security or access controls for the Services, except to the extent such restrictions are prohibited by applicable law.

6. Privacy and Data Protection

Our Privacy Policy describes how we collect, use, and disclose personal information. By using the Services, you acknowledge that Spuree will process information as described in the Privacy Policy and as necessary to provide the Services.

7. Service Changes and Availability

We may modify, add, or remove features from the Services over time. We aim to keep the Services available, but we do not guarantee uninterrupted or error-free operation.

Some features may be provided as beta, preview, or evaluation features. These features may change or be discontinued and may be subject to additional limitations.

8. Fees and Paid Services

If you purchase paid Services, you agree to pay the applicable fees and any taxes. Additional order forms, subscription terms, or written agreements may apply to paid Services and will control if they conflict with these Terms.

9. Intellectual Property

Spuree and its licensors retain all rights, title, and interest in the Services, including software, designs, interfaces, technology, and trademarks. Except for the rights expressly granted in these Terms, no rights are transferred to you.

Feedback or suggestions you provide may be used by Spuree without restriction or obligation to you.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Spuree disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Spuree will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. Spuree's total liability for any claim related to the Services will be limited to the amount paid for the Services giving rise to the claim during the twelve months before the event giving rise to liability, or one hundred U.S. dollars if no fees were paid.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk for Spuree or others, or if continued access would be unlawful.

Sections that by their nature should survive termination will survive, including provisions related to intellectual property, disclaimers, limitations of liability, and dispute-related terms.

13. Governing Law and Disputes

These Terms, and any dispute arising out of or relating to these Terms or the Services, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to personal jurisdiction and venue in those courts. Nothing in this section prevents either party from seeking injunctive or other equitable relief where appropriate.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice as appropriate, such as by posting the updated Terms on this page or through the Services. The updated Terms will become effective when posted unless a later date is stated.
